- Company Profile: The company's predecessor was the Beijing Administration of the Civil Aviation Administration of China. Since starting air services in 1950, it has been a major Chinese airline providing international and domestic air services. To coordinate with the reform of China's civil aviation industry, the original Air China was established in July 1988 and took over the business of the Beijing Administration of Civil Aviation, becoming the airline with the most assets and the largest transport turnover in China at that time. According to the "Civil Aviation System Reform Plan" approved by the State Council, China National Aviation Holding Corporation was established in October 2002. China National Aviation Holding Corporation was one of the three major national aviation group companies established based on the original Air China, jointly with the original China Aviation Corporation and the original China Southwest Airlines. The businesses and assets involved in this restructuring into China National Aviation Holding Corporation mainly included: the business and assets of CNAC Limited, a wholly-owned subsidiary of the original China Aviation Corporation in Hong Kong, and its domestic wholly-owned subsidiary Zhejiang Airlines, as well as the business and assets of the original Southwest Airlines. Among them, the legal entity status of the original Zhejiang Airlines and Southwest Airlines for main air transportation was deregistered in 2003, and their businesses were merged into the original Air China. According to the approval documents from the State-owned Assets Supervision and Administration Commission (SASAC) and the "Sponsor Agreement," China National Aviation Holding Corporation contributed assets and liabilities related to air passenger and cargo transportation and related ground services, aircraft maintenance, etc., from its wholly-owned enterprise, the original Air China, equity interests in 23 enterprises held by the original Air China, and cash of RMB 56,078.21 million to establish the company on September 30, 2004. CNAC Limited, a wholly-owned subsidiary of China National Aviation Holding Corporation, contributed its 69% equity in China Aviation Holdings Limited. The company inherited all the air transportation business and related assets and liabilities of the original Air China and CNAC Limited. According to the SASAC approval, the sponsors contributed the assessed net assets value of RMB 90,1841.39 million, which was converted into 6,500,000,000 ordinary shares with a par value of RMB 1 per share at a conversion ratio of 1:0.7207475795. China National Aviation Holding Corporation held 5,054,276,915 shares, accounting for 77.76% of the total issued ordinary shares; CNAC Limited held 1,445,723,085 shares, accounting for 22.24% of the total issued ordinary shares. The portion not converted into share capital, RMB 25,1841.39 million, was included in the company's capital reserve. On November 29, 2005, the Ministry of Commerce approved the company's change to a foreign-invested joint-stock company.
